Terms of service

Effective from: 11 May 2026

Informational translation: This is a translation of the original Polish document for the convenience of international readers. The Polish version is legally binding. Cognify Sp. z o.o. is a Polish company. All contracts are governed by Polish law and disputes are resolved by Polish courts, unless agreed otherwise in writing.

These terms govern services provided by Cognify Sp. z o.o., including the basis of cooperation, the rights and obligations of the parties, and the complaints procedure. The terms are available free of charge on the cognify-demo website and provided before contract conclusion in a form that allows them to be retrieved, reproduced and stored.

§1. General provisions

  1. Service Provider — COGNIFY SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, registered in Warsaw (00-867), ul. Chłodna 51, entered into the Register of Entrepreneurs (KRS) under no. 0001024267, NIP: 7123451235, REGON: 524694592, share capital: PLN 25,000 ("Cognify").
  2. Client — an entrepreneur within the meaning of Art. 43¹ of the Polish Civil Code or another business entity contacting Cognify to obtain an offer or enter into a service contract.
  3. Services — services provided by Cognify, in particular: design, deployment and maintenance of AI-based systems, technology consulting, custom software development, integrations, training.
  4. Contract — a service contract concluded individually between Cognify and the Client; scope, timing and remuneration are set out in a separate document (offer, order, master agreement).

§2. Nature of services

  1. Cognify provides services in a B2B project model. The cognify-demo website is presentational — it does not constitute an offer within the meaning of Art. 66 §1 of the Polish Civil Code.
  2. Specific terms (scope, schedule, remuneration, payment, confidentiality, IP) are agreed individually in writing or electronically (e-mail with acceptance).
  3. Cognify does not provide services to consumers within the meaning of Art. 22¹ of the Polish Civil Code. All inquiries are treated as coming from entrepreneurs.

§3. Initiating cooperation

  1. The Client contacts Cognify via the website form, e-mail or another agreed channel.
  2. The free 45-minute initial call does not commit either party to enter into a contract.
  3. Based on the call Cognify prepares a proposal with scope, indicative schedule, pricing and payment terms. The proposal is valid for 30 days unless agreed otherwise.
  4. The contract is concluded upon signature by both parties (written form or electronic with qualified signature or exchange of e-mails with unambiguous acceptance).

§4. Pricing and payments

  1. Remuneration is set in one of three models:
    • Fixed-price — a flat fee for a predefined scope,
    • Time & Materials — settlement based on hourly rate and actual time spent,
    • Retainer — monthly flat fee for a defined availability scope.
  2. All amounts are given in PLN and exclude VAT unless stated otherwise. Cognify issues an invoice with a Polish NIP.
  3. Standard payment term is 14 days from invoice date. For projects above PLN 20,000 net, Cognify may request an upfront deposit of up to 30%.
  4. In case of payment delay, Cognify may charge statutory interest for late payment in commercial transactions under the Polish Act of 8 March 2013.

§5. Rights and obligations of Cognify

  • Cognify performs services with the professional care required of an entity conducting business activity.
  • Cognify meets deadlines agreed in the contract. If a deadline is at risk, the Client is informed immediately along with proposed remedial actions.
  • Cognify may engage subcontractors — remaining responsible for their work as for its own.
  • Cognify maintains confidentiality of all information obtained from the Client during cooperation, regardless of the form in which it was provided, under terms set out in the contract or a separate NDA.

§6. Rights and obligations of the Client

  • The Client commits to cooperate with Cognify as necessary for service delivery — in particular by providing data, documents and access to systems on agreed terms.
  • The Client is responsible for the accuracy and completeness of the data they provide to Cognify.
  • The Client commits to timely payment of remuneration and acceptance of work results.
  • The Client may not, without Cognify's written consent, use the delivered materials (source code, documentation, analysis results) in a manner exceeding the purpose of the contract.

§7. Intellectual property

  1. Economic copyright to work results (code, documentation, designs) is transferred to the Client upon full payment of the remuneration, on the fields of use defined in the contract.
  2. Cognify retains rights to its own tools (libraries, frameworks, templates) used across many projects. The Client receives an unlimited-time non-exclusive licence to use them as part of the delivered solution.
  3. Language models (LLMs) and external components (open-source, third-party APIs) are governed by the licences of their providers. Cognify discloses dependencies used.

§8. Liability

  1. Cognify is liable for damages caused by wilful misconduct or gross negligence.
  2. Cognify's aggregate liability under the contract is limited to the amount of remuneration actually paid by the Client under that contract, unless mandatory law provides otherwise.
  3. Cognify is not liable for:
    • acts of third parties, including providers of AI models and cloud services,
    • downtime caused by force majeure,
    • damages arising from the Client's failure to follow the documentation or operating instructions.
  4. AI models are probabilistic tools. Cognify does not warrant their outputs will always be correct — but designs systems to minimise risk (tests, monitoring, human-in-the-loop for critical decisions).

§9. Complaints

  1. Complaints regarding services may be submitted by e-mail to kontakt@cognify.pl.
  2. The submission should include: Client details, contract or project identifier, problem description and requested resolution.
  3. Cognify responds within 14 working days.
  4. Lack of response in this period means the complaint is considered justified.

§10. Personal data

Data processing rules are set out in the separate privacy policy Cookie settings. For data entrusted by the Client to Cognify (e.g. data from the Client's databases on which the AI solution operates), the parties conclude a separate data processing agreement compliant with Art. 28 GDPR.

§11. Final provisions

  1. Matters not regulated by these terms are governed by the Polish Civil Code and other applicable provisions of Polish law.
  2. All disputes arising from contracts based on these terms shall be settled by the court competent for the registered office of Cognify, unless the contract provides otherwise.
  3. Cognify reserves the right to amend these terms. Amendments take effect 14 days after publication of the new version. Contracts already concluded are governed by the terms in force on the date of conclusion.
  4. These terms enter into force on 11 May 2026.
